Terms and Conditions

These Terms and Conditions govern your access to and use of the Taisys website, platform, and eSIM/SIM subscription services, other subscription-based services. By using our website or services, you agree to comply with and be legally bound by these Terms.

1. Use of Website and Platform

You agree to use the Taisys website and platform strictly in accordance with all applicable laws and regulations. You must not use the site for any unlawful, fraudulent, or unauthorized purposes, including but not limited to:

  • Attempting to gain unauthorized access to any portion of the platform.
  • Interfering with or disrupting the integrity or performance of the platform.
  • Engaging in any conduct that could damage, disable, or overburden the services.

2. Services Provided

Taisys offers digital services on a subscription basis, which users can access through our official website upon successful registration and payment. The nature, scope, and features of the services are as outlined on our website and may be updated from time to time.

3. Customer Change Order & Subscription Renewal Policy

The Customer Change Order must be duly uploaded on the M2M Portal for Bootstrap / Commercial activation, strictly adhering to the timelines as agreed in agreements. Failure to comply may result in termination of services without any prior notice.

  • Renewal charges must be cleared at least 15 days prior to the expiry of the current service tenure.
  • Upon completion of the service tenure, any unpaid or non-renewed subscriptions will be held in retention for 30 days. Post this retention period, services will be automatically terminated.
  • Termination will render the associated eSIM/SIM services unusable. The corresponding UICC SIM will need to be replaced with a new SIM for future use.
  • In cases where the subscription is renewed after the expiry of the previous tenure, the new tenure shall be considered effective from the original start date of the renewal period, not from the date of delayed renewal.
  • Unless the Customer has formally terminated the subscription, any period of suspension shall attract Suspension Period Charges along with applicable Late Fees. Such Late Fees shall be invoiced and payable by the Customer for each eSIM/SIM service.

4. Policy on Payment of Connectivity Fees

In accordance with the Ministry of Road Transport and Highways (MoRTH) Notification dated 25th October 2018, it is mandated that VLT device manufacturers or their authorized dealers shall provide comprehensive warranty/maintenance support for the VLT device and facilitate cellular connectivity for a minimum period of two years for new public service vehicles and one year for other vehicles.

This advance payment ensures that services for the second year are not interrupted or put on hold due to non-fulfilment of payment terms.

  • Users may place a service request through our platform. All payments must be made through secure payment gateways.
  • A service request is confirmed only upon successful payment processing and confirmation.
  • We are not responsible for failed transactions or delays caused by third-party payment processors.

5. Policy on Service Delays, Pricing Changes, and Force Majeure Conditions

This policy outlines our approach to handling service delays, pricing modifications, and unforeseen circumstances (force majeure) that may impact our ability to deliver services as scheduled.

5.1 Delays due to External Factors

Any delays arising from Customs authorities or Mobile Network Operators (TSP/MNO) are beyond the control of Taisys.

5.2 Validity of Services and Pricing

The validity of Subscription Services, KYC Services, and other Software and Hardware deliverables is subject to the Company's timely fulfilment of its obligations, including all responsibilities, prerequisites, and payment terms as agreed.

5.3 Binding Changes from Authorities / TSPs

Any change in pricing, terms, or services mandated by the Telecom Service Providers (TSP), Service providers, Mobile Network Operators (MNO), or any Government Authority, and which is binding on Taisys, shall equally be binding on the Customer.

5.4 Force Majeure

Force Majeure conditions shall apply as per standard commercial practice. Refunds, if any, shall only be processed where corresponding refunds are received by Taisys from the relevant TSP/MNO.

5.5 Right to Substitute Network, and service provider

In the event of service interruptions caused by a TSP/MNO/SP, Taisys reserves the right to provide the next best available network/service provider to maintain continuity of services.

6. Pricing and Taxes

6.1 Subscription Validity, Quotas & Additional Charges

Telecom subscriptions are subject to validity periods and monthly quotas for data and SMS. Services are provided based on the Customer’s confirmation that these limits meet their requirements. Upon expiry of the service tenure or quota exhaustion, services will be suspended, and additional charges may apply. Any usage exceeding the subscription limits will be invoiced separately. Late fees may apply for delayed payments on a per SIM/eSIM basis.

  • All pricing is listed in Indian Rupees (INR) and is subject to change without prior notice.
  • The total payable amount, inclusive of applicable taxes (if any), will be clearly displayed at checkout prior to payment.
  • Users are responsible for any additional charges or fees levied by their bank or payment service provider.

6.2 Telecom Tariff Dependency

Taisys' offered rates are based on current telecom tariff plans. Any future changes in telecom policies, regulations, pricing, data limits, or terms and conditions will automatically apply to the Taisys plans without further notice.

6.3 Platform fee Dependency

Taisys' offered rates are based on current ISP plans. Any future changes in policies, regulations, pricing, data limits, or terms and conditions will automatically apply to the Taisys plans without further notice.

7. Customer Responsibility

7.1 Device Certification Responsibility

The Device Manufacturer shall be solely responsible for obtaining certification of devices from accredited laboratories for VTS (Vehicle Tracking Solutions).

7.2 Non-transferability of eSIM/SIM

eSIMs/SIMs provided by Taisys are strictly non-transferable and cannot be resold without Taisys' prior written consent. Any unauthorized resale will be considered a breach of agreement and may lead to suspension or termination of services.

8. Customer Support

Taisys provides Customer support through an online helpdesk (email/chat) available on all working days during business hours. Support requests for certified devices will receive a response within 4 hours.

8.1 TSP Support Limitations

Support for issues relating to TSPs/SPs will adhere to the service processes and SLAs defined by the respective providers.

8.2 Service Interruption Due to External Factors

Delays caused by service providers are beyond Taisys' control. Subscription pricing, KYC services, and other deliverables remain valid only if the Customer fulfils all responsibilities, prerequisites, and payment obligations. Changes mandated by TSPs or government authorities will be binding on the Customer as well.

9. Policy on Custody, Transfer, and Liability of eSIM/SIM Services

The Company shall ensure that all eSIM/SIM services issued by Taisys under this Agreement remain under its control and proper supervision at all times.

In the event of any transfer of ownership of the machine/device in which the eSIM/SIM services are embedded, the Company shall notify Taisys within 7 (seven) days of such transfer. The Company must provide the required details in the format prescribed by Taisys, which shall include, but not be limited to, the following information:

  • ICCID of the SIM
  • IMEI of the Device
  • AIS 140 Registered Unique Device ID
  • Serial Number of the IoT / VLT Device
  • Vehicle / Machine Registration Number
  • Name and Address of the New Owner / Custodian
  • Aadhaar-linked Mobile Number / e-Vaahan Registered Mobile Number of the New Owner / Custodian

The Company shall remain solely responsible for the accuracy and completeness of the Custodian Verification Information provided by itself or its customers.

In the event Taisys suffers any liability, loss, or damage arising due to improper, incomplete, or inaccurate information provided by the Company or its customers regarding the transfer or custodian of the eSIM/SIM services, the Company shall be fully liable to compensate Taisys for any such damages or liabilities incurred.

Taisys reserves the right to immediately disconnect any such connections found to be in breach of this policy, and the costs and expenses related to such disconnection shall be solely borne by the Company that ordered the respective eSIM/SIM services.

10. Intellectual Property Rights

The technology services offered under this agreement are the intellectual property of Taisys India Pvt. Ltd. Taisys reserves the right, at any time, to assign, novate, or transfer all or any part of its rights, benefits, and obligations to any of its subsidiaries or associated entities.

  • All content, branding, software, images, text, logos, and other materials on the platform are the exclusive property of Taisys, protected by copyright and intellectual property laws.
  • You may not reproduce, modify, publish, distribute, or create derivative works from any material on our platform without prior written consent.

11. Limitation of Liability

To the fullest extent permitted under applicable law, Taisys shall not be liable for:

  • Any indirect, incidental, special, punitive, or consequential damages
  • Losses resulting from unauthorized access, system failure, or third-party attacks
  • Any damages arising from your inability to access or use the platform or services.

12. Termination of Service

Taisys retains the right to discontinue services without liability or refunds if required by any government action, order, or policy, or if the Customer provides incorrect information.

Taisys reserves the right to suspend or permanently terminate your access to the website or services, with or without notice, for any of the following reasons:

  • Violation of these Terms.
  • Fraudulent or illegal activity.
  • Inappropriate behavior or misuse of the platform.
  • Requests by law enforcement or other governmental agencies.

13. KYC Indemnity

Parties acknowledge that the Embedded SIM and its issuance is governed by Government Policy. Pursuant to the requirements of the DoT ESIM guidelines released on 16th May 2018 (Ref no. 800-09/2010-VAS-III) and any modifications thereto from time to time, the Company undertakes that it will conduct the KYC as per DoT specified norm and provide to Taisys the required Custodian Verification Information in relation to the use of the eSIM/SIM Services.

14. Data Hosting & Reliability

Services are hosted from data centres within India. While efforts are made to ensure reliability, services depend on third-party cloud infrastructure and connectivity. Therefore, continuous or uninterrupted service cannot be guaranteed.

15. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Delhi.

16. Modifications to Terms

Taisys reserves the right to modify or update these Terms at any time. Changes will become effective upon posting on the website. Continued use of the platform after such changes signifies acceptance of the revised Terms.
